LAW & CONTRACTS: Contract drafting tips checklist (printable)

These are some tips that are intended to ease the logistics and negotiations of contracts:

(For the following is a non-exhaustive list, and it is assumed that that the reader is a lawyer, but it may be helpful to others as well):

  1. Give the documents a distinctive and descriptive name, including date etc., like this format: [today's date yyyymmdd], [type of document], [version], [last edited by]. This could look like this:

    20161018_DevelopmentAgreement_ver003_PeterHolm

  2. Give exhibits initials of the contract, and numbers that correspond to the section where it is first mentioned, e.g. Exhibit "DA 4.2.3"
  3. Please write sufficient recitals - they can be very important for client/lay persons, particularly if there are personnel changes in the client contract management side at later stages. A good recital section can be extremely helpful in getting people up to speed
  4. Appoint - from the outset - 1) the party who is going to make the next draft and 2) one person who immediately after negotiations makes a list of the sections that are going to be re-drafted and what has been agreed in terms of action points.
  5. Make - from the outset - an estimated timeframe, in writing, of the negotiations and the actions required for reaching the time target, with allocated ressources and responsible individuals.
